This Agreement sets forth the general terms and conditions of your use of the Zfrica.com website and any of its products or services (collectively, “Website” or “Services”).

By accessing this Website, accessible from http://zfrica.com, you are agreeing to be bound by these Website Terms and Conditions of Use and agree that you are responsible for the agreement with any applicable local laws. If you disagree with any of these terms, you should quit accessing this site immediately.

Definitions (as used by Zfrica.com)

  • We / Our / Us: Refers to Zfrica.com as an establishment.
  • You / Your / His / Her: Refers to the user or client, depending on context.
  • User: An individual who accesses or interacts with information on our website.
  • Client: A person who has paid for any of our services.
  • Affiliate: A participant in our SHARE & EARN referral program.
  • Customer Support: Our customer care unit, accessible via WhatsApp, that provides assistance to users or clients.
  • Designa: An employee of Zfrica.com responsible for creating or designing jobs submitted by clients.
  • Job Request: An action taken by a user on our website to indicate that they want Zfrica.com to render a service.
  • Job Revision: A request from a client to revisit or modify the original job.
    Example: A client who submitted a job without specifying a color may later request a change to the color used in their logo design.
  • Job Correction: A request from a client to rectify details in the original job submission.
    Example: A client who originally specified red as the color for their design, but after delivery requests it to be changed to blue.

Age Requirement

You must be at least 13 years of age to use this Website. By using this Website and by agreeing to this Agreement you warrant and represent that you are at least 13 years of age.

All our services are listed on our About Us Page.

Mode of Job Request

The only officially recognized method for submitting a job to us is through our website at http://zfrica.com/shop.

While our customer service personnel or third parties may sometimes assist users with job submissions, Zfrica.com will not be held responsible for any issues or disputes arising from jobs submitted through unofficial channels or third parties.

Mode of Job Delivery

All completed jobs will be delivered only through the official channels you provided when making your request — this may include email, WhatsApp, or your stated address.
We cannot be held responsible for issues arising from any alternative delivery arrangements outside these official channels.

Please note: Final delivery of completed jobs will be made only after full payment has been confirmed.

Service Completion & Delivery Timeline

Delivery timelines are estimates and may vary depending on service type. For government-related services such as CAC registration, timelines are subject to official processing times. Zfrica.com will not be liable for any loss, damage, or business delay caused by extended processing times beyond our control.

Storage of Completed Jobs

If a completed job cannot be delivered or remains uncollected due to delays or inaction on the part of the requesting client, Zfrica.com will only keep the deliverables in storage for three (3) weeks.

After this period, Zfrica.com will not guarantee the safety of the deliverables and will not be liable for any loss, damage, or deletion of the completed job outputs, whether digital (such as design files, logos, documents, or proofs) or physical (such as printed or customized items).

It is the responsibility of the requesting client to ensure timely receipt, collection, or download of their deliverables within this period.

Job Revision (Results from our mistake)

Unsatisfied clients have the right to request a revision. This does not attract any additional payment. However, clients may be required to provide additional information to guide us on what to do next.

You can submit a revision to us by replying to the delivery mail sent to you or through our Customer Support agent.

Job Correction (Results from your mistake when making a request)

Unsatisfied clients have the right to request a correction. However, any correction requested after a job is done and ready for delivery (or delivered) will attract an additional fee, and we reserve the right to decide if we can do it or not.

You can submit a correction to us by replying to the delivery mail sent to you or through our Customer Support agent.

Accuracy of Client Information

For CAC registration, business regularization, and other official documentation services, the accuracy and completeness of the information provided by the client is entirely the responsibility of the client. Zfrica.com shall not be held liable for any delays, errors, rejections, or penalties arising from inaccurate, false, or incomplete information supplied by the client.

Third-Party Agencies & Government Authorities

Some services (e.g., CAC registration and business regularization) involve submissions to or interactions with third-party agencies and government authorities. While Zfrica.com will use reasonable efforts to process these requests promptly, we are not responsible for delays, rejections, or policy changes made by these external parties.

Custom Printing & Design Disclaimer

For printing and customization services, Zfrica.com will rely on the specifications provided by the client (such as size, color, material, and content). We are not responsible for errors in printing or customization that result from inaccurate specifications provided by the client. Clients are required to confirm digital proofs before mass printing begins.

Proof Approval

Clients must review and approve all digital proofs before final production. Once a proof has been approved, Zfrica.com will not accept liability for mistakes (including typographical errors, design errors, or color variations). Any subsequent corrections will be treated as a new job request and may attract additional charges.

Limitation on Liability for Business Advisory Services

Any business advisory, regularization, or registration guidance provided by Zfrica.com is offered in good faith and based on existing laws and best practices. However, Zfrica.com does not provide legal, tax, or financial advice, and clients are encouraged to seek professional counsel where required. Zfrica.com will not be held liable for any financial, legal, or compliance losses resulting from client decisions.

Intellectual Property in Custom Jobs

All custom designs, logos, and creative works produced by Zfrica.com are and shall remain the intellectual property of Zfrica.com as the creator of the work.

Upon full payment, the client becomes the sole owner of the final product and may use, resell, redistribute, or modify it without restriction.

Zfrica.com retains only the right to showcase completed jobs in its portfolio, marketing materials, and case studies unless the client explicitly requests otherwise in writing.

Force Majeure

Zfrica.com shall not be liable for any failure or delay in performing its obligations due to causes beyond its reasonable control, including but not limited to acts of God, government restrictions, wars, labor disputes, natural disasters, or disruptions in telecommunications or logistics services.

Request Decline

At our discretion, Zfrica.com reserves the right to decline a request made by a user. Reasons that could lead to such decline include, but are not limited to:

  • The unwillingness of clients to provide enough information for their request.
  • Making requests that outrightly infringe on the rights of others.
  • Suspecting an ulterior motive from the client.

In cases where a request is declined, we prioritize our clients and consider them eligible for a refund.

Refund Policy

At Zfrica, we are committed to fairness and transparency in handling refunds. Refund eligibility depends on the nature of the service requested:

1. Printing and Customization Services

  • Refunds are only applicable if a job has not yet been processed or designed.

  • Once digital proofs have been approved by the client, no refunds will be issued.

  • If an error occurs due to Zfrica.com (e.g., failure to follow confirmed specifications), we will either provide a correction at no additional cost or issue a fair refund at our discretion.

2. CAC Registration, Business Regularization, and Government-Linked Services

  • Refunds are not available once submissions have been made to CAC or any government authority, as processing fees are non-recoverable.

  • Refunds may only apply if Zfrica.com fails to submit the application entirely after receiving complete and accurate information and full payment from the client.

  • Zfrica.com is not liable for refunds in cases of rejection, delays, or penalties caused by inaccurate client information or changes in government policies.

3. General Refund Terms

  • Refunds, when approved, will be processed within 5 working days.

  • Refunds are not applicable to third-party-assisted job submissions or payments made through unofficial channels.

No Chargebacks

By engaging our services, you agree not to initiate chargebacks or payment disputes through your bank, payment provider, or any financial institution once a service has been delivered or is in progress.

  • Any attempt to recover funds via chargeback after delivery will be considered a breach of this Agreement.

  • Zfrica.com reserves the right to suspend, terminate, or blacklist any user or client who initiates unauthorized chargebacks.

  • If a chargeback is filed, you remain responsible for the full payment of services rendered, plus any additional fees or penalties incurred by Zfrica.com as a result of the dispute.

  • All refund requests must follow the official Refund Policy outlined above and will be processed only through Zfrica.com’s approved channels.

Mode of Communication

We recognize and permit the following communication modes:

  • Chats with our online customer service centre
  • Call / SMS to our official lines
  • Emails to our official mails
  • Comments and responses on our social media outlets

However, our communication representatives reserve the right to withdraw from any uncivilized communication with a user or client. As such, our representatives may desist from giving further replies or assistance when, at their discretion, the communication is deemed uncivilized.

Payments

We only recognize the following payment options as valid:

  1. Payments made by a user using our website’s online payment platform (Paystack)
  2. Cash transfers or deposits made to our official bank account (ZFRICA DIGITAL)
  3. Airtime transfers made to 08138156958 (which attracts a 30% extra fee)

Part Payments

Part payments are allowed in certain cases at our discretion.
When part payment is allowed, the client must pay 60% of the total cost upfront to begin processing the order. The remaining 40% balance is due once the order is completed and ready for delivery.

 

ZFRICA AFFILIATE ACCOUNT REGISTRATION

This pertains to users interested in our SHARE AND EARN affiliate program. You must provide your legal full name, a valid email address, and any other information requested in order to complete the sign-up process for an Affiliate account (“account”)

You must be 18 years of age or older to join the affiliate program.

Each account is for use by either a single legal entity (e.g. a company or a partnership) or an individual user. We do not permit you to share your user name and password with any other person or with multiple users on a network. Responsibility for the security of any user names and passwords issued (including those of any Invitees) rests with you.

You may not use the Program for any illegal or unauthorized purpose. You must not, in the use of the Program, violate any laws in your jurisdiction (including but not limited to copyright laws).

Referral Links & Promotion

Once you have signed up for the Program you will be provided with a URL link that must be used to identify you when placing a link from your site, email or other communications to the zfrica website. It is your responsibility to ensure each such link is correctly formatted.

We may also provide graphical images that can be used within the links to promote zfrica. You may not modify these images in any way. We reserve the right to change the images at any time without notice.

You will be solely responsible for the development, operation, and maintenance of your site and for all materials that appear on your site

You may not use our name or graphics in any bulk email whatsoever unless we have given our advanced written consent. We may terminate the Agreement if any meaningful spam complaints naming us or our services result from your marketing activities.

You may not issue any press release with respect to this Agreement or your participation in the Program; such action may result in your termination from the Program. In addition, you may not in any manner misrepresent or embellish the relationship between us and you.

Referral Fees

For you to be eligible to earn a referral fee, the customer must click-through a link from your site, email, social media, or other communications to the zfrica website and order zfrica product/service within 30 days of the initial click-through. If they fail to order within those 30 days and later return without following your link, you will not earn a referral fee.

We will only pay referral fees on links that are automatically tracked and reported by our systems. For our systems to track the referral, the visitor must have cookies enabled. We will not pay referral fees if someone says they signed up through you but it was not tracked by our system.

The referral fee is a percentage dependent on the product being ordered by the customers that you refer. The referral fee will be credited to your Affiliate account once the customer pays for the order. Referral fees are only earned after a customer makes full payment for the product/service ordered

Affiliate Payment

Accrued referral fees are paid via bank transfer roughly twice per month and only when your accrued referral fees sums up to of ₦1000 or more. The Affiliate can then make a request for payment . You must have a valid bank account to receive referral fees. We will send your referral fees though bank transfer to your preferred account number.

Customer payments refunded or payments charged back due to credit card fraud do not qualify for referral fees. We may delay crediting of referral fees subject to risk analysis considerations and Anti-Money Laundering procedures.

A summary of sign-ups and statement of referral fees is available to the Affiliate by logging into their Affiliate account.

The referral fee structure is subject to change at our discretion.

We reserve the right to disqualify referral fees earned through fraudulent, illegal, or questionable sales or marketing methods.

All fees are exclusive of all taxes, charges, levies, assessments and other fees of any kind imposed on your involvement in this Agreement and shall be the responsibility of, and payable by you.

We reserve the right to check and change commissions on the basis of orders actually paid, the notification e-mail is not understood as a confirmed commission – this is only a notification, and every payment will be verified based on real transactions.

User content

We do not own any data, information or material (“Content”) that you submit on the Website in the course of using the Service. You shall have sole responsibility for the accuracy, quality, integrity, legality, reliability, appropriateness, and intellectual property ownership or right to use of all submitted Content. We may monitor and review Content on the Website submitted or created using our Services by you. Unless specifically permitted by you, your use of the Website does not grant us the license to use, reproduce, adapt, modify, publish or distribute the Content created by you or stored in your user account for commercial, marketing or any similar purpose. But you grant us permission to access, copy, distribute, store, transmit, reformat, display and perform the Content of your user account solely as required for the purpose of providing the Services to you. Without limiting any of those representations or warranties, we have the right, though not the obligation, to, in our own sole discretion, refuse or remove any Content that, in our reasonable opinion, violates any of our policies or is in any way harmful or objectionable.

Site Revisions and Errata

The materials appearing on Zfrica.com’s Website may include technical, typographical, or photographic errors. As such, if needs be, Zfrica.com may change the materials contained on its Website at any time without notice. Zfrica.com does not make any commitment to update the materials.

Prohibited uses

In addition to other terms as set forth in the Agreement, you are prohibited from using the Website or its Content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service or of any related website, other websites, or the Internet; (h) to collect or track the personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape; (j) for any obscene or immoral purpose; or (k) to interfere with or circumvent the security features of the Service or any related website, other websites, or the Internet. We reserve the right to terminate your use of the Service or any related website for violating any of the prohibited uses.

Limitation of liability

To the fullest extent permitted by applicable law, in no event will Zfrica, its affiliates, officers, directors, employees, agents, suppliers or licensors be liable to any person for (a): any indirect, incidental, special, punitive, cover or consequential damages (including, without limitation, damages for lost profits, revenue, sales, goodwill, use of content, impact on business, business interruption, loss of anticipated savings, loss of business opportunity) however caused, under any theory of liability, including, without limitation, contract, tort, warranty, breach of statutory duty, negligence or otherwise, even if Zfrica has been advised as to the possibility of such damages or could have foreseen such damages. To the maximum extent permitted by applicable law, the aggregate liability of Zfrica and its affiliates, officers, employees, agents, suppliers and licensors, relating to the services will be limited to an amount greater of one dollar or any amounts actually paid in cash by you to Zfrica.com for the prior one month period prior to the first event or occurrence giving rise to such liability. The limitations and exclusions also apply if this remedy does not fully compensate you for any losses or fails of its essential purpose.

Indemnification

You agree to indemnify and hold Zfrica.com and its affiliates, directors, officers, employees, and agents harmless from and against any liabilities, losses, damages or costs, including reasonable attorneys’ fees, incurred in connection with or arising from any third-party allegations, claims, actions, disputes, or demands asserted against any of them as a result of or relating to your Content, your use of the Website or Services or any willful misconduct on your part.

Severability

All rights and restrictions contained in this Agreement may be exercised and shall be applicable and binding only to the extent that they do not violate any applicable laws and are intended to be limited to the extent necessary so that they will not render this Agreement illegal, invalid or unenforceable. If any provision or portion of any provision of this Agreement shall be held to be illegal, invalid or unenforceable by a court of competent jurisdiction, it is the intention of the parties that the remaining provisions or portions thereof shall constitute their agreement with respect to the subject matter hereof, and all such remaining provisions or portions thereof shall remain in full force and effect.

Dispute resolution

The formation, interpretation, and performance of this Agreement and any disputes arising out of it shall be governed by the substantive and procedural laws of Oyo State or Abia State, Nigeria without regard to its rules on conflicts or choice of law and, to the extent applicable, the laws of Nigeria. The exclusive jurisdiction and venue for actions related to the subject matter hereof shall be the state and federal courts located in Southern, Nigeria, and you hereby submit to the personal jurisdiction of such courts. You hereby waive any right to a jury trial in any proceeding arising out of or related to this Agreement. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.
